What you’ll do:

Here is a sample for some of what your workdays may look like:

 

  • Review, draft and negotiate contracts, and provide general advice and legal support for NorthRiver’s business.
  • Support and collaborate with business functions on all legal aspects of NorthRiver’s business, including commercial, operations, corporate finance, mergers and acquisitions, human resources, procurement, and litigation.
  • Live by the NorthRiver values and showcase those values to all stakeholders.    
  • Negotiate, review and action a variety of diverse transactions such as acquisitions and divestitures, joint ventures, project development and complex financings.
  • Negotiate, draft, and review of a wide variety of complex commercial contracts, including gas processing agreements, commodity purchase and sale arrangements, infrastructure arrangements, project development agreements, and various lease arrangements.
  • Deliver legal advice concerning deal structures, due diligence and post-closing assimilation.
  • Provide timely and responsive client service.
  • Assist in matters pertaining to corporate governance, which includes support for board and committee meetings, safeguarding company records and ensuring adherence to all local, provincial, federal, and industry-specific laws, regulations and NorthRiver policies.
  • Review supply chain management and construction contracts and provide support, guidance, legal advice and drafting.
  • Advise on legal issues and risks, contract approval processes, policies and procedures and litigation matters.
  • Review and identify legal trends and risks as part of the changing regulatory environment.

What you bring:

Required

  • 3+ years of post-call experience related to corporate and commercial, regulatory, or banking and finance legal work, with experience in the energy sector an asset.
  • JD or LLB from a recognized university is a requirement with current standing to practice law in Canada and the ability to be or become a practicing member of the Law Society of Alberta.
  • Excellent communication and interpersonal skills.
  • Proficient in Microsoft Word, Excel, PowerPoint, Outlook.
  • Knowledge of the energy industry an asset.
  • Robust negotiation and decision-making abilities.
  • Strong and effective written and verbal negotiation and communication skills.
  • Excellent legal drafting skills and attention to detail.
  • Ability to navigate a fast-paced, dynamic environment and manage numerous projects concurrently.
  • Demonstrated ability to collaborate with a variety of people and job functions within the organization internally and externally.
  • Strong commercial/business acumen and a pragmatic approach to legal issues and advice.
  • Strong organizational skills and an ability to support diverse client groups.
  • Demonstrated ability to complete legal tasks within tight deadlines and work independently.
  • Understanding of policy and regulatory requirements and associated risks.

 

Preferred

  • Motivated, curious, creative, collaborative, and innovative.
  • Ability to learn new systems and develop processes that leverage technology and people.
